Terms of Service
These Terms govern your use of Roundpit as a venue owner, collaborator, event organizer, or contributor. By creating an account or managing a listing, you agree to these Terms. Please read them.
1. Who These Terms Apply To
These Terms of Service ("Terms") apply to all registered accounts on Roundpit.com, including:
- Venue owners: individuals or organizations who have claimed or been invited to manage a location listing
- Collaborators: users granted access to a location by an owner
- Contributors: users who submit events to locations they do not own
- Organizers: individuals or groups associated with events on the platform
Public visitors who browse Roundpit without an account are not covered by these Terms but are subject to our Privacy Policy and acceptable use standards.
2. The Platform
Roundpit is a hyperlocal events discovery platform serving Syracuse, NY. We aggregate event listings across venues and make them discoverable to people looking for things to do. Roundpit operates as an independent editorial platform — we may independently publish, curate, or editorialize about any venue, event, or organizer in our coverage area without prior approval.
Roundpit uses a single unified account model. Your account has one subscription tier which determines the features available to you across all of your locations. Your relationship to specific locations (owner, collaborator) is recorded separately and controls what actions you can take on those listings.
3. Account Registration and Eligibility
To create an account, you must:
- Be at least 18 years old
- Provide accurate, current, and complete information during signup
- Be authorized to represent any organization you register on behalf of
- Be located in or serving the Syracuse, NY area (for venue listings)
All accounts are subject to manual approval before access is granted. Roundpit reserves the right to reject any application at its sole discretion. Approved accounts may be suspended or terminated at any time for violations of these Terms.
You are responsible for keeping your credentials secure. You agree to notify us immediately at contact@roundpit.com of any unauthorized use of your account.
4. Account Types and the Unified Model
Roundpit does not use separate account types (e.g., "business account" vs "personal account") as separate code paths or data models. What you can do on the platform is determined entirely by:
- Your role on a specific location (owner or collaborator) and associated permissions
- Your subscription tier (free, pro, business, or enterprise), which gates features platform-wide
Claiming a location listing and having that claim approved makes you an owner of that listing. That is what constitutes a "venue account" — it is the same account, with an ownership relationship added.
5. Subscription Tiers
Free
All accounts begin on the Free tier. Free includes: a public location listing, event management, photo gallery (cover image, logo, up to 8 gallery photos), hours and contact information, and a clean URL once your profile reaches 100% completion.
Pro
Pro adds: analytics dashboard (page views, RSVPs, follows, ticket clicks), verified badge, and priority placement. Pricing and availability are listed at /pricing.
Business
Business adds: website content integration, contact form management, website analytics, and custom domain connection. Pricing and availability are listed at /pricing.
Enterprise
Enterprise adds: static venue website (hosted by Roundpit), usage reporting, and admin billing management. Contact us for pricing.
Tier Changes and Billing
Subscription tiers are currently set manually by Roundpit administrators. Automated billing will apply when paid tiers launch. At that time: downgrading removes paid features at the end of the current billing period; no refunds for partial billing periods unless required by law; terminated accounts with cause are not entitled to refunds.
6. Claiming a Listing
Roundpit may create location listings based on publicly available information before any claim is made. By claiming a listing, you confirm you are an authorized representative of that business. Claims are subject to review and approval by Roundpit.
A demo listing is automatically assigned upon approval, accessible via a demo URL. Once your profile is complete (100% score), a clean public URL is automatically issued. An admin hold pauses this promotion. You will be notified of any holds and given the opportunity to respond.
7. Content You Submit
7.1 Your Content, Your Responsibility
You are solely responsible for all content you upload or submit to Roundpit, including venue information, photos, event listings, descriptions, and any other materials ("Your Content"). You represent and warrant that:
- You own Your Content or have all necessary rights to submit it
- Your Content does not infringe any third party's intellectual property, privacy, or other rights
- Your Content is accurate, not misleading, and complies with applicable law
- You have the right to grant the license described in Section 7.2
7.2 License to Roundpit
By submitting content to Roundpit, you grant Roundpit a non-exclusive, royalty-free, worldwide license to:
- Display and publish Your Content on Roundpit.com and associated pages
- Use your business name and logo to identify your listing on the platform
- Reproduce, distribute, and promote Your Content in connection with Roundpit's marketing activities, including social media
- Resize or modify assets solely as necessary for proper display
This license is active for as long as your listing is on Roundpit and terminates upon verified removal, except where content has already been distributed in formats that cannot reasonably be recalled (e.g., social media posts, cached pages).
7.3 Event Submissions by Contributors
Any registered user may submit an event to any location on the platform. Submitted events enter a queue and require a location owner or Roundpit administrator to publish them. You do not acquire any ownership or control over a location by submitting an event to it. Roundpit may reject or remove any submitted event at its discretion.
8. Roundpit's Editorial Rights
Roundpit may independently create, curate, or publish editorial content about any venue or event in our coverage area — including articles, recommendations, event coverage, and editorial reviews. This content is the property of Roundpit and does not require your approval. You acknowledge that Roundpit operates as an independent editorial platform, not merely a listing directory.
9. Advertising and Data Insights
Roundpit's business model includes a future advertising revenue stream based on selling aggregated, de-identified audience insights to local advertisers. This feature is not yet active. When it launches, it will operate strictly on aggregated data that cannot identify individual users. As a venue owner on the platform, your listing's aggregate engagement statistics (e.g., total page views by category) may contribute to these insights. Your personal information will never be sold or shared with advertisers in individually identifiable form.
Advertisers may eventually purchase sponsored placements on Roundpit. Sponsored content will be clearly labeled. Roundpit does not allow advertisers to directly target, access, or contact users without their consent.
10. Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent business information or event listings
- Upload content that infringes third-party intellectual property rights
- Use Roundpit to promote illegal activities
- Attempt to gain unauthorized access to listings, accounts, or platform infrastructure you do not own
- Use automated tools to scrape, crawl, or submit content without authorization
- Attempt to manipulate listing scores, analytics, or any platform ranking system
- Harass, threaten, or abuse other users or Roundpit staff
- Impersonate a venue, organizer, or person you are not authorized to represent
Roundpit's open contribution model (anyone can submit an event) is designed to welcome good-faith contributors. Abuse of this model — including spam submissions — results in permanent account termination.
11. Publishing and Visibility Controls
Publishing is gated by permission. Contributors may submit events but cannot publish them. Only owners and authorized collaborators with publish permission can make events publicly visible. This is enforced server-side — the UI reflects your permissions, and the server independently verifies them on every action. Visibility in the UI does not imply authorization; every write action is independently authenticated.
12. Termination
Either party may terminate a listing or account at any time.

- Roundpit may suspend or terminate any account for violation of these Terms, with or without notice
- Upon termination, Roundpit may retain archived or cached versions of your listing for a reasonable period and is not obligated to delete content already distributed
- Accounts terminated for cause are not entitled to refunds of prepaid fees
13. Disclaimers
Roundpit.com is provided "as is" and "as available" without warranties of any kind, express or implied. Roundpit does not warrant that the platform will be uninterrupted, error-free, or free of harmful components. Roundpit does not verify the accuracy of user-submitted event or venue content and is not responsible for errors in listings.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Roundpit and its owners, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Roundpit's total liability for any claim shall not exceed the total fees you paid to Roundpit in the twelve months prior to the claim, or $100, whichever is greater.
15. Indemnification
You agree to indemnify, defend, and hold harmless Roundpit and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from: your use of the platform; Your Content; your violation of these Terms; or your violation of any third party's rights.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Onondaga County, New York. You waive any objection to venue in those courts.
17. Changes to These Terms
Roundpit may update these Terms at any time. We will post the updated Terms here and update the "Last updated" date. For material changes, we will notify registered users by email with at least 14 days' notice. Continued use of the platform after that notice period constitutes acceptance of the updated Terms.
